Seeking for help!

Hey yall, once again im looking for some help.
Here's the story before i move on to the problem part:

I was watching a vid im WMP and pc suddenly went black and started beeping as if there was RAM or CPU missing. Further after, everytime i restart or turn it on it would start beeping right off without even getting to BIOS logo or anything.

Now as for what i did about it: i got 2 pcs 1 with ASUS mobo the other with MSI, the one with MSI is the one where i got the problem - both are socket A and both have AMD XP 1700+, the pc i game on and do everything is the MSI - has 1k ddr ram and better vid card(RADEON 9600pro) - the ASUS has 256 ddr and ge force 400 - so its mostly for net and vids.
To find out what the problem was i started switching around stuff in pcs and as i changed the vid card to geForce - it stopped beeping and froze at the point where it says "Press DEL to enter setup" - no response to keyb or mouse even after i rebooted it. Everytime it would freeze at that same point. I switched back to my radeon and what surprized to see the visual on the screen but it froze at the BIOS point as well. Now with either card it freezes either on the "Press DEL to enter setup" or goes into BIOS itself and freezes on the first BIOS page. No response to keyb or mouse. I then had to go with a thought that it is either my bios chip that is somehow giving errors or the MSI that is ****ed up. Took out the battery and BIOS, put it back in - still same thing.

Anyone call tell me what this could be? Am i right about it being the mobo?

Check your mem sticks.. you may have fried a slot.. if they gave you a little thing where you plug into the board and the lights will tell you what is wrong try using that.. check the manual to see what the beeps mean.. i had same prob with my MSI board.. first time I RMA'd to Newegg cause I fried it.. other time it was just that I fried a Mem slot and had to switch my sticks to the other slots.. then it worked fine

You can turn on your pc with just 1 memory stick in to see which 1 is bad. If only1 works but then the 2nd wont work in dual channel then that mobo wont support that type of memory in dual channel.

done
tried all slots one by one ( i have 3)
with all 3 chips of ram i have one by one i have 128 ddr 266, 256 ddr 266 that were on asus and 1gig ddr 400
its not the ram i guess :*(

i get either this:

without being able to press anything - it just freezes there, or the screen with MSI all over the monitor and "Press DEL to enter setup" on the bottom where i cant press anything that would work either.

I RMA'd mine when i couldn't get past in our past bios.. so.. check the manual for what the beeps mean.. other than that.. it's probably fried

yeah i checked the manual and then googled the bios issues with my mobo - what i found is that my bios slot might be fried (i was like WTF...)
well anyway ive been putting this **** togather for at least 5 years now - honestly im sick of it lol ill prolly order an assembled comp (i just dont wanna put my face in the case anymore)
